1. Acceptance of Terms
By accessing or using the AXK Network platform, website (axk.org), APIs, or associated services (the "Platform"), provided by Afrikabal Inc. ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a corporation, partnership, or legal entity, you represent and warrant that you possess the authority to bind such entity.
2. Nature of the Platform & Financial Disclosures
AXK Network provides software infrastructure for commodity contract recording, origin and custody verification, documentary compliance, and payment settlement orchestration.
• Not a Bank: AXK Network is not a depository bank, money services business (MSB), money transmitter, custodian, or investment advisor.
• Partner-Led Regulated Services: All banking services, multi-currency accounts, foreign exchange execution, payment rails (including SWIFT, SEPA, local instant payments, and mobile money), and credit facilities are provided exclusively by regulated, licensed partner institutions under their independent regulatory permissions and client agreements.
• Non-Custodial: AXK Network does not hold, take custody of, or intermediate customer funds at any stage of trade execution.
3. User Obligations & KYB Compliance
Counterparties accessing the Platform must:
• Complete Know-Your-Business (KYB), beneficial ownership verification, and sanctions screening to the satisfaction of the Company and its licensed partners.
• Ensure that all trade specifications, origin coordinates, customs documents, and inspection certifications submitted are genuine, accurate, and unmanipulated.
• Comply with all applicable trade control, export, sanctions, environmental, and anti-bribery statutes in the jurisdictions of origin, transit, and destination.
4. Verification and Independent Attestations
AXK Network cryptographically verifies that submitted trade records, inspection certificates, and custody handovers have not been altered once committed. However, the physical reality of commodity grade, weight, and condition remains the legal responsibility of the issuing certifiers, collateral managers, and independent inspection bodies named in the underlying contract.
5. Intellectual Property & API Usage
The Company retains all right, title, and interest in and to the Platform, including proprietary software, zero-knowledge verification protocols (including Veyra), data models, trade state machines, APIs, and brand assets. Users receive a revocable, non-exclusive, non-transferable license to access the Platform solely in accordance with their subscription or enterprise agreement.
6. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, neither Afrikabal Inc. nor its directors, officers, employees, or affiliates shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, trade disruptions, delays in carrier transit, bank settlement delays, or regulatory enforcement actions arising out of your commercial trades.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to choice of law principles. Any dispute arising out of or relating to these Terms shall be settled by binding commercial arbitration in accordance with the rules of the American Arbitration Association (AAA) or competent courts of Delaware.
